Terms Of Services

These Terms of Service set forth the terms and conditions that apply to the use and access of MAHALO having website URL - https://www.mahaloapp.net/. The website is owned, designed, maintained and operated by Mahalo Mobile Technologies LTD., a company based in Vancouver, Canada. These terms act as a legally binding contract between Mahalo Mobile Technologies LTD. (We / Us) and you, the User. By using the website, you agree to these terms and conditions in their entirety.

To enter this agreement, you must be of legal age in your jurisdiction of residence and be legally eligible to be bound by this Agreement. You must also be able and competent to enter and agree with the terms, conditions and obligations set forth in this Agreement. By accepting this agreement, we can assume that you have the capacity to be bound by it. You may not use this website if you are under the legal age to do so. It is hereby declared that We have the sole and exclusive right to amend this Terms of Service at any time. Such changes and/or amendments made in the Agreement shall be applicable on You and You must keep yourself updated with such changes and/or revisions made in the Agreement.

1. SERVICE
1.1. The Services provided by MAHALO enable You to donate money as acts of gratuity or tip, to service providers in restaurants, coffee shops, hair salons, or any place where exceptional services are delivered.

1.2. MAHALO extends its Services for the act of tipping, through the tap of Your mobile devices.

1.3. MAHALO extends its Services for the act of tipping, in case of street performers, charity events, houses of worship and more.

1.4. The Services provided by MAHALO help in seamlessly transferring money from the donors MAHALO account, directly to the service providers MAHALO account, and such transactions are performed with the help of third party service providers such as Plaid and Stripe.

1.5. It is hereby declared that in consideration of providing such Services, MAHALO reserves the right to deduct a commission everytime You donate money to a service provider and every time a service provider receives such donation or tip from the donor. Such commission deductible by MAHALO shall amount to 5% and shall be levied exclusive of taxes deductible (if any). Such commission percentage shall be altered and/or changed, depending on the sole discretion of MAHALO, and such change shall be made after making necessary amendments in this Terms of Service.  


2. SUBMISSION OF CONTENT
2.1 The Services provided by Us enable you to provide and/or upload content. This content includes (but not limited to) text, images and data (collectively, Content). This content is used by Us to help improve the overall Services of the platform. You agree that You are solely responsible for all content provided and/or uploaded; and any consequences of doing so.

2.2. You agree that We have permission to use content You provide to advertise or enhance our Site or Services. You agree that by uploading or providing any Content on MAHALO, you give Us a worldwide, royalty-free license to use, reproduce, process, edit, format, publish, distribute and display some or all of such Content, when done in connection with the aforementioned purposes.

2.3. You warrant that you own your Content - or have the necessary rights and/or licenses required to upload the Content to MAHALO. You agree that its provision to MAHALO will not violate the copyrights, trademark right or any other intellectual property rights of any other person or entity.

2.4. MAHALO has no responsibility and no obligation to monitor any Content posted by users on the site, nor to monitor for relevance and/or appropriateness. MAHALO retains the right to remove any Content deemed inappropriate, at any time.


3. INTELLECTUAL PROPERTY
3.1 All rights to MAHALO remain under the ownership of Mahalo Mobile Technologies LTD. These rights refer to the design, logos, site structure, images, video, buttons, data, content, technology, software, code and all other aspects of the website - excluding User Content.

3.2. By agreeing to these terms, you agree irrevocably that any suggestions for improvement that are subsequently implemented will become property of Mahalo Mobile Technologies LTD. without compensation - financial or otherwise. Suggestions, ideas and concepts you share with Mahalo Mobile Technologies LTD. are done so under your own free will. By using Mahalo Mobile Technologies LTD. and its Services, you agree to give all rights to Mahalo Mobile Technologies LTD. to suggestions provided using the system, and that Mahalo Mobile Technologies LTD. may use or incorporate said results into the mobile application, site, Services or future versions thereof. We own any data generated by your use of the site (excluding your Content)

3.3. You agree to consider and treat all content provided to You as strictly confidential, until MAHALO makes said content publicly available. You therefore also agree not to directly or indirectly disclose any and/or all parts of the donations and/or tips you receive to any third parties whatsoever, this includes but is not limited to posting the information on social media platforms, forums, media websites.

3.4.Some personal data may be desensitized and aggregated by MAHALO to improve the performance of the website and the overall User experience by tailoring features to generic trends and behaviors.


4. USER MEMBERSHIP
4.1. Anyone of legal age is permitted to create a user account on MAHALO. In order to create such a User account, You must provide your valid name, email address, phone number, bank account details, etc.

4.2. In order to create a User account on MAHALO, You may or may not have to fulfill the Know-Your-Customer (KYC) obligations and fulfillment of such obligations depends from one jurisdiction to another. In order to fulfill such KYC obligation, You must provide proof of ID which shall include your name, address, phone number and government issued identification proof such as Passport, Driver's Licence or similar ID proof.

4.3. In order to create such a User account, You must agree with the terms of this Agreement.

4.4. MAHALO hereby gives You the right to enhance Your account using various tools provided by MAHALO. These tools and/or services can help customize your experience. However, usage of these tools and/or services is limited to You.

5. MAHALO MEMBERSHIP
5.1 Membership is available to all members of the public above the legal age being 18 years or as per local jurisdiction. As a member, You can create a MAHALO account; post picks/tips; compete in qualifying competitions and leaderboards; and follow the pages of other users.

5.2. As a user, you expressly grant permission to MAHALO to display your content on Our website, on social media and/or any other means of communications. As a member, you shall get unrestricted access to our tip entry/monitoring services.


6. DUE DILIGENCE
6.1. Each Member is responsible for their own tips, and should ensure the odds provided are accurate at the time of publication. Any odds errors found anywhere on the site should be noted, with details sent to aloha@mahaloapp.net. MAHALO agrees that We will not duplicate donations and/or tips. We have built a standardized system in order for Users to easily follow and/or tip their favorite donee’s and/or service providers. In case of any duplicate tips, the tips with the largest stake shall remain, and any duplicate tips shall be removed and/or canceled.


7. SECURITY
7.1. It is hereby declared that Mahalo takes the security of Your financial information seriously. MAHALO does not retain or have any access to any User financial data and/or User banking data.

7.2. MAHALO relies on trusted third party service providers such as Plaid to securely manage User bank account information and Stripe to securely handle credit card and debit card details.

7.3. MAHALO hereby declares that neither Plaid nor Stripe share User sensitive information with MAHALO or any third party, ensuring utmost security for Your data.

7.4. MAHALO hereby declares that in addition to security, MAHALO has hereby made an application to FINTRAC (Financial Transactions and Reports Analysis Centre of Canada) for improvement in its Services.

7.5. You agree and understand that You are responsible for maintaining the confidentiality of your login credentials for your MAHALO account. You agree that any information provided by You on Your account to be true, current and completely accurate. Should any information change, You agree to update your account accordingly. You understand that You must not disclose your login credentials to any third party. Your right to access MAHALO is given to you personally, and is not transferable by you to any other entity.

7.6. If you become aware of any unauthorized access to your account or profile information, you must contact MAHALO  immediately by emailing us at aloha@mahaloapp.net.


‍8. ACCEPTABLE USE
8.1. You agree that will not provide and/or display Content on the Site, or use the Site, or use information from the Site that:

8.1.1. contains software viruses of any kind, including but not limited to Trojan horses, spyware or malware.

8.1.2. infringes or violates any third party's intellectual property

8.1.3. is threatening, abusive, violent, malicious or harmful to any person, entity or company (including MAHALO)

8.1.4. invades the privacy of any person, entity or company

8.1.5. impersonates MAHALO or any of their owners, employees or in any other way that misrepresents your relationship with MAHALO.

8.1.6. sells or leases any Services from the mobile application and/or site whatsoever.

8.1.7. is harmful to minors in any way whatsoever, nor should it encourage minors to visit the site.

8.1.8. uses manual or automated techniques to monitor or replicate the Site, or any content it contains.

8.1.9. aids the unlawful distribution of copyrighted content.

8.1.10. contains adult or pornographic Content

8.1.11. promotes hate speech, racism, terrorism.


9. LIABILITY
9. 1. MAHALO shall not be held accountable or liable to You or any User of the MAHALO website for any direct or indirect damages arising from the use of the mobile application and/or site. This includes, but is not limited to loss of business.

9.2. Content provided by third parties on the mobile application and/or site that is used for events, markets, results and odds is published on an “as it is” basis, when supplied to us. We are not responsible for the accuracy or timeliness of this third party information.

9.3. It is the responsibility of the User to take appropriate steps to verify this information before using it or acting upon it. We can not be deemed responsible for content of any third party website you visit when leaving our website via a link provided by Us or any other User and cannot be held liable for any loss or damages you incur as a result thereof. Before accessing such third party websites, you must read their terms and conditions and privacy policy carefully.

9.4. We shall endeavor to maintain 100% uptime of the website. We shall not be held liable for any damage caused by site downtime due to unforeseen circumstances, site maintenance or otherwise.

9.5. MAHALO shall not be liable for damages if any notifications of new content are missed by the User.

9.6. You, the User must inform us if you believe a result has been recorded incorrectly. We cannot be held liable for such errors, but are able to amend any legitimate errors brought to our attention within a stipulated amount of time. However, it is hereby declared that MAHALO’s decisions are final in nature and cannot be modified and/or changed.

9.7. Odds and results data come from third party feeds and hence We cannot be held responsible if the feed is incorrect and/or not available at any given point of time.

9.8. By agreeing to use our service, the User gives MAHALO the permission to use/collate any data entered by the User on the mobile application and/or site. The data will be used to monitor your performance, which will in future be used to show potential customers about how you perform month-by-month (and by any other period).

9.9. You certify to MAHALO that You agree to these Terms and Conditions along with the Privacy Policy, including but not limited to legal fees, awards of damages, losses or costs that We may incur as a result of any claim made directly or indirectly based on the violation of these Terms and Conditions.


10. MISCELLANEOUS
10.1. By using the Site, you imply that you agree to these terms and conditions and these Terms of Service can be updated at any time. Whilst We shall provide notification of any changes whenever possible, it remains the User's responsibility to keep up to date with any amendments to the terms of service.

10.2. Continued use of the mobile application, site and/or Services will be deemed as acceptance of any amendments made in such Terms of Service. These terms and conditions are governed by the laws of Vancouver, Canada. The courts of Vancouver, Canada shall have exclusive jurisdiction over any dispute that may arise in connection with the performance of these terms. The same applies to any issues with the usage of the mobile application, site and/or any of the accessible areas of the mobile application and/or site.


11. DISCLAIMER OF WARRANTIES
11.1. By agreeing to these Terms and Conditions, you expressly understand and agree to and accept that:

11.2. Your use of the service is at your sole risk

11.3. The service provided by MAHALO are on an “as is” and “as available” basis and MAHALO makes no warranty that:

11.3.1. the Service will meet your requirements;

11.3.2. the Service will be uninterrupted, timely or error-free;

11.3.3. the results from these Services will be accurate or reliable;

11.3.4. any errors will be corrected in a timely manner; and

11.3.5. the quality of services, products, content or other material purchased or provided to you through the use of the Service will meet your expectations.

11.4. It is hereby declared by MAHALO that it makes no warranties and no warranties shall be created by the information (written or otherwise) obtained by you from MAHALO or its Service unless expressly stated in the Terms and Conditions.


12. CANCELLATION OR TERMINATION OF USE
12.1. MAHALO reserves the right to terminate this Agreement at any time.

12.2. This decision shall be made at the sole and exclusive discretion of MAHALO and can be made without any cost, charge or liability. Any notice of termination shall be sent to You via your registered account’s email address.

12.3. MAHALO hereby reserves the right to terminate any Service or portion of the mobile application or site at any time.

End User Licensing Agreement

Welcome to Mahalo! These Terms and Conditions ("Terms") govern your access to and use of the Mahalo website and platform (the "Service"). Mahalo, a registered Money Services Business (MSB) with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC), maintains its headquarters in Vancouver, British Columbia, Canada. By accessing or using the Mahalo website, app and platform (the "Service"), you agree to be bound by these Terms. It is essential to review and understand these Terms before using the Service


1. Use of the Service


1.1 Eligibility: By using the Service, you affirm that you are at least 18 years old and have the legal capacity to enter into these Terms.

1.2 License: Mahalo grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for its intended purposes as outlined in these Terms.

1.3 Prohibited Activities: You agree not to engage in any unlawful, fraudulent, or unauthorized activities while using the Service, including but not limited to money laundering or terrorist financing activities, which may result in immediate termination of your account and legal action.


2. Mahalo's Role


2.1 Platform: Mahalo provides a platform enabling users to facilitate tip transactions among individuals through mobile devices. It is explicitly stated that Mahalo does not directly engage in the provision of financial services but serves as a facilitator of transactions among users, ensuring compliance with relevant laws and regulations.

2.2 MSB Registration: Mahalo, being a registered MSB with FINTRAC, adheres rigorously to all pertinent laws and regulations governing MSBs in Canada to ensure the integrity and security of transactions.


3. User Accounts


3.1 Registration: Registration is required for all features and services offered by Mahalo. You must provide accurate and complete information during registration and maintain the confidentiality of your login credentials.

3.2 Identity Verification: You are obligated to undergo identity verification procedures as prescribed by Mahalo. Account activation is contingent upon successful completion of the identity verification process.

3.3 Questionnaire: You are required to furnish responses to a questionnaire during the registration process, furnishing details such as the intended use of the service, anticipated earnings, nature of employment or business, and employer information.

3.4 Account Termination: Mahalo reserves the unfettered right to suspend or terminate user accounts without prior notice if any violation of these Terms is suspected or if mandated by applicable law.


4. Privacy


4.1 Privacy Policy: Your utilization of the Service is subject to Mahalo's Privacy Policy, which outlines the collection, and disclosure of your personal information. You have the right to review and amend your personal information in accordance with applicable data protection laws.


5. Intellectual Property


5.1 Ownership: Mahalo retains exclusive ownership of all rights, title, and interest in and to the Service and its constituent elements, including text, graphics, logos, and software.

5.2 Use Restrictions: You are expressly prohibited from altering, reproducing, distributing, or creating derivative works based on the Service or its contents without prior written consent from Mahalo.


6. Limitation of Liability


6.1 Disclaimer: To the maximum extent permissible under applicable law, Mahalo disclaims all warranties, whether express or implied, pertaining to the Service. Mahalo shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from or related to the use of the Service.


7. Governing Law


7.1 Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada. Any disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts of British Columbia, except where prohibited by law.


8. Changes to Terms and Conditions


8.1 Modification: Mahalo reserves the right to modify or amend these Terms at its discretion, with any changes becoming effective immediately upon posting on the Mahalo website. Your continued use of the Service following any modifications constitutes acceptance of the revised Terms.


9. User Responsibilities and Conduct


9.1 Compliance with Applicable Laws: You must use the Services in accordance with all relevant laws, rules, regulations, and codes of conduct (“Laws”) governing your use of the Services and Transactions. This includes compliance with domestic and international laws related to financial services, consumer protection, privacy, and any other laws applicable to Transactions.

9.2 Accuracy of Information: You are responsible for the veracity and completeness of the information furnished during registration and while utilizing the Service.

9.3 Restricted Businesses and Activities: You may only use Mahalo’s service for any other purpose other than what it is approved for. You may also not use Mahalo’s Services for any activities identified by Mahalo as restricted (“Restricted Businesses”). This prohibition extends to activities benefiting countries, organizations, entities, or individuals subject to government embargoes or blocks, including those on sanctions lists designated by Canada. Prior to registering for a Mahalo Account, carefully review the list of Restricted Businesses. If uncertain about the applicability of restrictions to your business or activities, please contact us for clarification. Mahalo reserves the right to update the list of Restricted Businesses at any time.

9.4 Other Restricted Activities: You are prohibited from using the Services to facilitate illegal Transactions or to enable others to utilize the Services for non-commercial, personal, family, or household purposes. Additionally, you may not:

  • Access Mahalo systems, data, or services without proper authorization.
  • Reproduce, distribute, or transmit any part of the Services, Documentation, or Mahalo’s website without explicit authorization.
  • Act as a pass-through agent.
  • Transfer any rights granted under this Agreement.
  • Circumvent technical limitations of the Services or enable prohibited functionality.
  • Reverse engineer the Services except as expressly permitted by applicable laws.
  • Disrupt normal operation of the Services or interfere with other users' access.

9.5 Security: You bear the responsibility of safeguarding the security of their accounts and login credentials. Any unauthorized access or use of accounts must be promptly reported to Mahalo.

9.6 Prohibited Conduct: You undertake not to engage in conduct that may disrupt, impede, or compromise the functionality of the Service or the experience of other users. This encompasses, but is not restricted to, the transmission of viruses, spam, or any other malicious content.

9.7 Content Guidelines: You are prohibited from posting, uploading, or transmitting any content that contravenes the law, is defamatory, obscene, or infringes upon the rights of others.

9.8 Fraud Prevention: You agree to promptly report any suspected fraudulent activity or unauthorized transactions to Mahalo. Mahalo reserves the right to investigate and take appropriate action, including suspending or terminating accounts, in cases of suspected fraud or unauthorized use of the Service.


10. Compliance Obligations


10.1 Compliance: Mahalo is committed to upholding the highest standards of regulatory compliance and expects all users of the Service to adhere to applicable laws, regulations, and industry standards. By using the Service, you agree to comply with the following obligations:

10.2 Know Your Customer (KYC): As part of our commitment to preventing financial crime and ensuring the integrity of our platform, you must adhere to Mahalo's Know Your Customer (KYC) procedures. This may involve providing accurate and up-to-date information about yourself and your business, verifying your identity through documentation or other means, and cooperating with Mahalo's efforts to maintain compliance with KYC requirements.

10.3 Privacy and Data Protection: You are responsible for safeguarding the privacy and security of personal data collected or processed through your use of the Service. This includes obtaining any necessary consents from individuals whose personal data you collect, ensuring compliance with applicable data protection laws, and protecting against unauthorized access to or disclosure of personal information.

10.4 Regulatory Reporting: You may be required to provide information or documentation to Mahalo upon request, to ensure Mahalo’s compliance with AML regulations. Failure to provide requested information in a timely manner may result in restrictions on your use of the Service or termination of your account.

10.5 Acknowledgement: By using the Service, you acknowledge and agree to uphold these compliance obligations and to cooperate with Mahalo in its efforts to maintain a secure and compliant platform for all users. Failure to comply with these obligations may result in the suspension or termination of your account, as well as legal consequences in accordance with applicable laws and regulations.


11. International Data Transfers


11.1 Disclosure: Mahalo may transfer personal information internationally (outside of Canada). Mahalo will disclose such transfers and specify the safeguards in place to protect personal data during such transfers.



12. Cookie Policy


12.1 Usage: If Mahalo's website utilizes cookies or similar tracking technologies, Mahalo will provide information about types of cookies used, their purposes, and how You can manage preferences.


13. Suspicion of Unauthorized or Illegal Use


13.1 Right to Refuse: Mahalo retains the right to refuse, condition, or suspend any Transactions deemed in violation of this Agreement or other agreements with Mahalo, or posing unacceptable risks to Mahalo or other parties. Should Mahalo suspect or become aware of your use of the Services for unauthorized, fraudulent, or illegal purposes, Mahalo may disclose relevant information to appropriate authorities in compliance with legal obligations.

13.2 Dispute Resolution: While Mahalo strives to maintain transparent and fair processes, if you disagree with any decisions made regarding the refusal or suspension of Transactions, you have the right to raise concerns through our designated dispute resolution channels, detailed in the Support section.


14. Disclosures and Notices; Electronic Signature Consent


14.1 Consent to Electronic Disclosures and Notices: Your registration for a Mahalo Account constitutes your electronic signature and indicates consent to receive all disclosures and notices from Mahalo (“Notices”) electronically, including those mandated by law.

14.2 Methods of Delivery: Mahalo may provide Notices regarding the Services via our website, Dashboard, or by email or physical mail to the addresses associated with your Mahalo Account. Notices may include notifications regarding your Mahalo Account, Service modifications, or other information pertinent to your use of the Services.

14.3 SMS and Text Messages: You authorize Mahalo to deliver Notices via text message for purposes of account verification or dissemination of critical information about your Mahalo Account. Standard text or data charges may apply. Text message notifications may be disabled through the Dashboard, though doing so may heighten fraud risks to you and your Customers.

14.4 Requirements for Delivery: Access to electronically provided Notices necessitates a computer or mobile device with internet connectivity and an updated browser. Should you encounter difficulty accessing Notices, please contact us to arrange alternative delivery methods.

14.5 Withdrawing Consent: Acknowledgment of electronic delivery of Notices is a prerequisite for utilizing the Services. However, you retain the option to withdraw consent by terminating your Mahalo Account.


15. Termination


15.1 Term and Termination: This Agreement becomes effective upon your initial access or use of the Services and remains in force until terminated. You may terminate by closing your Mahalo Account. Mahalo reserves the right to terminate or suspend your Mahalo Account at any time with prior notice.

15.2 Effects of Termination: Termination does not absolve you of obligations incurred under this Agreement. Upon termination, you must fulfill all pending transactions and cease accepting new transactions. Mahalo may delete your information and account data within 10 days of termination. You remain liable for any fees, fines, or other financial obligations accrued prior to termination.


16. Fees and Fines


16.1 Fees: Mahalo will provide the Services to you at the rates and for the fees ("Fees") described in the Fee Schedule incorporated into this Agreement. The Fees include charges for Transactions (such as processing a payment) and for other events connected with your Mahalo Account (such as handling a disputed charge).

16.2 Fee Revisions: We reserve the right to revise our Fees at any time, provided that, with respect to increases in or the introduction of new Fees, such increase in or new Fees will be subject to a ninety (30) day notice period to you. For greater certainty, notification is not required for fee changes made in accordance with pre-determined fee schedules.

16.3 Additional Fees: We may charge additional Fees for cross-border transactions or foreign exchange services. In addition to the Fees, you are also responsible for any penalties or fines imposed on you or Mahalo by any bank, money services business, payment network, financial institution, or other financial intermediary (each a "Financial Services Provider") resulting from your use of Payment Payment Services in a manner not permitted by this Agreement or a Financial Services Provider’s rules and regulations.

16.4 Taxes: You are also obligated to pay all taxes, fees and other charges ("Taxes") imposed by any governmental authority, including without limitation any value added tax, goods and services tax, provincial sales tax and/or harmonized sales tax on the Services provided under this Agreement. If you are tax-exempt, you will provide us with an appropriate certificate or other evidence of tax exemption that is satisfactory to us.


17. Dispute Resolution


17.1 Dispute: In the event of any dispute arising out of or relating to this Agreement, including its formation, interpretation, performance, or breach, the parties agree to attempt to resolve the dispute through negotiation. If the dispute cannot be resolved through negotiation within 60 days, either party may initiate binding arbitration as the sole and exclusive method of resolving the dispute. The arbitration shall be conducted in accordance with the rules of Vancouver International Arbitration Centre (VIAC), by a single arbitrator appointed in accordance with said rules. The decision of the arbitrator shall be final and binding upon the parties. Each party shall bear its own costs and expenses of arbitration, including attorney's fees.


18. Indemnification


18.1 Indemnification: You agree to indemnify, defend, and hold harmless Mahalo, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees arising from or relating to your use of the Service, violation of these Terms, or infringement of any third-party rights, including legal fees.


19. Third-Party Services


19.1 Use of Third-Party Services: Mahalo utilizes third-party services, including identity verification and payment processing, subject to their respective terms of service and privacy policies. Mahalo disclaims any liability for acts or omissions of these third-party service providers.


20. Updates and Modifications


20.1 Modifications to Terms: Mahalo reserves the right to modify or amend these Terms at any time without prior notice. Updates to the Terms will be communicated to you via email and/or through notifications on the Mahalo app. Your continued use of the Service after such modifications constitutes acceptance of the revised Terms.


21. Severability


21.1 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed or modified to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.


22. Assignment
